Reflexiones en torno a algunos planes de reestructuración recientes: ¿resulta conveniente reformar el libro II del Texto refundido de la Ley Concursal?

Abstract

El trabajo que ahora comienza aborda algunas de las cuestiones suscitadas durante los primeros meses de aplicación práctica de la nueva normativa sobre reestructuración preventiva de deuda contenida en el Libro Segundo del Texto refundido de la Ley Concursal. Todo ello tras conocerse las primeras resoluciones judiciales dictadas tras las consiguientes solicitudes de homologación de ciertos planes.

Si bien lo que se plasma en el artículo son problemas advertidos en dos concretas reestructuraciones, es previsible que los mismos puedan reproducirse en otros procesos similares en un futuro cercano, riesgo acrecentado por el hecho de no poder disponer de una interpretación uniforme del Tribunal Supremo. Ello nos lleva a plantearnos si no resultaría conveniente repensar algunos de los aspectos básicos de la regulación de la preinsolvencia, en orden a impedir que puedan volver a generarse ciertos efectos indeseados que se están apreciando. Cuestiones como el alcance de la sentencia que estime la impugnación, los criterios de formación de clases, el papel de la fase de contradicción previa y la conveniencia de extenderla, o el propio sistema de designación de los expertos, entre otras, consideramos que deberían ser objeto de una profunda reflexión colectiva a fin de dotarnos de un régimen legal de la reestructuración preventiva que supere sus actuales disfunciones, manteniendo su filosofía de intervención judicial mínima.

The present paper addresses some of the questions raised during the first months of practical application of the new regulations on preventive debt restructuring contained in Book Two of the Consolidated Text of the Insolvency Act (TRLC). All of this after the first court rulings were handed down following the subsequent applications seeking approval of certain plans.

Although what is set out in the article describes problems observed in two specific debt restructurings, it is foreseeable that they could be reproduced in other similar processes in the near future, a risk which is increased by the fact that there is no uniform interpretation of the Supreme Court. This makes us wonder whether it would not be advisable to rethink some of the basic aspects of the regulation of pre-insolvency, in order to prevent certain undesired effects that are being observed from happening again. Issues such as the scope of the ruling that upholds the challenge, the criteria for credit class formation, the role of the preliminary contradiction phase and the advisability of extending it, or the system for appointing restructuring experts, among others, should in our opinion be the subject of a profound collective reflection in order to provide us with a legal regime for preventive restructuring that overcomes its current disfunctions, while preserving its philosophy of minimal judicial intervention.
